PROFESSIONAL SERVICES AGREEMENT

This Professional Services Agreement (the “Agreement”), effective as of the public workshop registration date, is entered into by and between HoneyPieLion,(the “Provider”), and the workshop registrant (the “Client”).

1. Provision of Services

The Provider shall render art-based educational instruction, workshops, and associated curricula (collectively, the “Services”) as detailed below. The Provider represents and warrants that it possesses the requisite pedagogical expertise, artistic proficiency, and professional qualifications necessary to execute the Services to a high standard.
3. Modification and Cancellation Policy

A. Client Cancellation

All sales are final and non-refundable due to client cancellation. Clients who provide written requests for cancellation more than 24 hours before the start of a public workshop may be offered a credit for a future workshop at the discretion of the Provider.

B. Provider Cancellation

Should the Provider be required to cancel a session due to instructor illness, safety concerns at the venue, or an event of Force Majeure, the Client shall be entitled to a full refund or a credit for a future session of equivalent value.

4. Client Obligations and Safety Protocols

A. Custodial Responsibility

The Client maintains full responsibility for the supervision of minor participants through the entirety of the session.

B. Health and Safety Compliance

Participants are required to adhere strictly to all safety directives issued by the Provider.

C. Mandatory Disclosures

The Client is obligated to disclose any relevant medical conditions, allergies, or Special Educational Needs (SEN) via email to the Provider at the time of registration.

5. Intellectual Property

All Intellectual Property Rights arising from the performance of the Services, including instructional materials and curricula, remain the exclusive property of the Provider.

6. Limitation of Liability and Indemnification

Client must also acknowledge receipt of and agreement with the Waiver of Liability, which is expressly incorporated into the workshop registration form.

7. Force Majeure

Neither party shall be held liable for any failure to perform its obligations under this Agreement if such failure results from circumstances beyond its reasonable control, including but not limited

to: natural disasters, pandemics, industrial disputes, or governmentally mandated restrictions.

8. Governing Law

All matters arising out of or relating to this Agreement are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California.
